Terms of Service
1. Scope of this agreement
These Terms of Service ("Terms") govern access to and use of Huz AI (the "Service"), operated by [Huz Global AI — legal entity name, registration and registered address to be confirmed before commercial launch] ("Huz," "we," "us"). By creating a workspace, signing in, or otherwise using the Service, the individual and the business they represent ("you," "Customer") agree to be bound by these Terms and by the Privacy Policy, which is incorporated by reference.
Huz AI lets a business describe an operational responsibility in plain language, and turns that description into a durable Agent and Job that Huz's planning and resolution systems attempt to prepare, test safely in a Sandbox environment, and — only with the Customer's explicit action — publish to a live Production environment.
2. Eligibility and authority to bind your organization
You must be at least the age of majority in your jurisdiction and have authority to accept these Terms on behalf of the business you represent. If you accept these Terms on behalf of an organization, you represent that you have the authority to do so, and "Customer" then refers to that organization.
3. Account and workspace responsibilities
Each Customer operates within an isolated workspace. You are responsible for: (a) providing accurate registration information; (b) maintaining the confidentiality of your credentials; (c) all activity that occurs under your account and workspace, whether or not authorized by you, once your credentials have been used to access the Service; and (d) promptly notifying Huz if you believe your account or credentials have been compromised. Huz stores passwords, one-time verification codes, and password-reset tokens only in salted or hashed form and cannot recover or display your original password to you or to Huz personnel.
Administrators within a workspace may create, suspend, or remove other accounts associated with that workspace in accordance with the roles the Service provides. Huz is not responsible for disputes between individuals sharing access to the same workspace.
4. Acceptable use
You agree not to: use the Service for any unlawful purpose or in violation of any applicable law or regulation; attempt to access another Customer's workspace, data, or credentials; probe, scan, or attempt to bypass authentication, tenant isolation, or other access controls; introduce malicious code; misuse the Service to generate content that infringes third-party rights, defames, harasses, or facilitates fraud; or use the Service to build a competing product by systematically extracting its underlying prompts, capability definitions, or source configuration.
Huz may suspend or restrict access to protect the security or integrity of the Service, other Customers, or third parties, consistent with Section 13.
5. Customer data, permissions, and connected systems
"Customer Data" means the information you submit to the Service, including workspace configuration, the operational requests you give to Huz, data you upload or connect (for example through Data Space), and records generated by your use of Agents and Jobs. You retain all rights to your Customer Data. You represent that you have the necessary rights and permissions to provide Customer Data to Huz and to authorize the processing described in these Terms and the Privacy Policy.
Connections represent systems or channels (such as a connected company email account, or another supported integration) that you have explicitly authorized Huz to use on your behalf. Data Space represents information you have explicitly made available for Agents and Jobs to use. Huz does not grant an Agent or Job access to a Connection or a Data Space dataset unless that access has been explicitly configured by your workspace. You may revoke a Connection or remove Data Space access at any time through the Service.
6. AI-generated plans, outputs, and your responsibility to review
The Service uses automated planning and capability-resolution systems, together with third-party AI model providers, to interpret your requests and to propose the steps an Agent or Job would take. These outputs are generated automatically and may be incomplete, may not fully reflect your intent, or may occasionally be incorrect. You are responsible for reviewing any plan, test result, or generated output before relying on it or authorizing further action based on it.
Where the Service is unable to safely resolve a request with existing or newly composed capabilities, it will report that honestly rather than fabricate a working result. Huz does not guarantee that every request you describe can or will be successfully automated.
7. Testing versus Production, and explicit publication
The Service maintains a clear separation between a Sandbox/Test environment, in which Agents and Jobs are exercised using safe test data and evidence, and a Production environment, in which an Agent or Job may take real, live action. A successful test never automatically publishes anything to Production. Moving an Agent or Job into Production requires your explicit, affirmative action, and remains your decision and your responsibility. Huz is not responsible for consequences of Production actions you have explicitly approved.
8. Third-party services and integrations
Delivering the Service may involve third-party infrastructure and service providers — for example, providers of large language model inference, transactional email delivery, workflow automation execution, voice/telephony test infrastructure, and OAuth-based connections to systems such as a Customer's email provider. Your use of a Connection to a third-party system is also subject to that third party's own terms. Huz is not responsible for the acts, omissions, availability, or content of third-party services, except to the extent required by applicable law.
9. Service availability and changes to the Service
Huz will use commercially reasonable efforts to keep the Service available but does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, security response, or circumstances outside Huz's reasonable control. Huz may add, change, or remove features of the Service over time, including the underlying planning, capability, and provider systems, provided that such changes do not materially reduce the security or tenant-isolation protections described in the Privacy Policy without prior notice.
10. Fees and billing

11. Intellectual property
Huz and its licensors retain all right, title, and interest in and to the Service, including its software, capability library, planning and resolution systems, and documentation, excluding your Customer Data. Subject to your compliance with these Terms, Huz grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business operations during the term of your account.
12. Confidentiality
Each party may receive non-public information from the other in connection with the Service (for example, workspace configuration, business context you provide, or non-public product information Huz shares with you). Each party agrees to use the other's confidential information only to perform its obligations or exercise its rights under these Terms, and to protect it with at least the same degree of care it uses for its own confidential information of similar nature, but no less than reasonable care.
13. Suspension and termination
Huz may suspend or terminate your access to the Service if you materially breach these Terms, if required to prevent harm to the Service, other Customers, or third parties, or if required by law. You may stop using the Service and request account closure at any time. On termination, your right to access the Service ends; provisions of these Terms that by their nature should survive (including Sections 6, 11, 12, 15, 16, and 17) will survive.
14. Disclaimers
THE SERVICE, INCLUDING ALL AI-GENERATED PLANS, TEST RESULTS, AND OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUZ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT AN AGENT OR JOB WILL SUCCESSFULLY AUTOMATE A REQUESTED OPERATIONAL RESPONSIBILITY.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 16. Indemnity
You agree to indemnify and hold Huz harmless from third-party claims, damages, and reasonable expenses arising from your Customer Data, your use of the Service in violation of Section 4 (Acceptable use), or your unauthorized publication of an Agent or Job to Production.
